Read these Terms of Service carefully before using the https://www.chatcompose.com platform, https://admin.chatcompose.com and its associated services (together or individually, the "Services") operated by ChatCompose Inc. ("ChatCompose", "we", "us" or "our").
Your access and use of the Services is conditioned upon your acceptance and compliance with this Agreement. This agreement applies to all visitors, users and others who wish to access or use chat services.
By accessing or using the services, you agree to be bound by this Agreement. If you do not agree with a part of this agreement, then you do not have permission to access our services.
Acceptable use. You agree to comply with the limits of use for each plan.
Prohibited and unauthorized use. You agree that, directly or indirectly, you will not (1) make the services available, or use them for the benefit of anyone other than you or the users who use the services on your behalf; (2) sell, resell, license, sublicense, distribute, rent, lease the services or include any service in a services office or outsourcing offer; (3) use the services to send SPAM or store or transmit content, material or data that is unlawful, defamatory, illegal or otherwise unlawful; (4) store material for transmission or transmission of data through the services in violation of the law or the rights of third parties, including, among others, the rights of privacy or any contract in which you are part of; (5) use the services to store or transmit malicious or harmful codes; (6) interfere with or interrupt the integrity or performance of the services or the data contained therein; (7) attempt to gain unauthorized access to the related services or systems or networks; (8) Use direct or indirect access or use of the services in a way to avoid the limit of contractual use; (9) copy the services or any module, feature, function or user interface thereof; (10) frame or embed the services, except on internal intranets; (11) access services to perform a comparisons or analysis to create a competitive product or service; (12) develop, translate or create derivative work of our underlying software; (13) decompile, disassemble, decrypt or reverse engineer services, or attempt to obtain other source code or major ideas or algorithms from any part of the services or (14) violate the Acceptable Use Policy.
ChatCompose may suspend the access of any user to all subscription services without prior notice in case of a violation of this section.
Sensitive information. You can not use the platform or any service to collect, manage or process sensitive personal information. Chatcompose will not be responsible for any result of using the platform or any service to collect or process sensitive personal information.
Term and Renewal. Your initial subscription term will be established in the registration form. Upon the expiration of the initial period, the Term of the Subscription will be automatically renewed during the periods of the same duration, unless either party provides the other party with a written notice of non-renewal at least thirty (30) days before the expiration of the current term.
Termination If either party violates any of its obligations under these Terms of Service or the Registration Form, and such violation is not resolved within thirty (30) calendar days after the date on which the party incurred in the infraction, the non-infringing party may terminate these terms of service or the corresponding registration form, as appropriate.
Termination or expiration effect. All provisions of these terms of service, which by their nature will survive the termination, will include, among others, ownership provisions, waivers of warranty, compensation and limitations of liability.
Content of the client. Our Services allow you to publish, link, store, share and, otherwise, make available certain information, text, graphics, videos or other material ("Customer Content"). You are responsible for the Client Content that you post on or through the Services, including its legality.
By posting Customer Content on or through the Services, you warrant that: (a) the Content of the Customer you post on or through the Services is yours (you own it) and / or have the right to use it and the right to grant us the rights and the license as set forth in these Terms of Service, and (b) the publication of your Client Content on or through the Services does not violate the rights of privacy, rights of publicity, copyright, contractual rights or any other right of any person or entity.
We reserve the right to cancel the account of any person who infringes copyright or who infringes this section. We do not assume any responsibility or assume any responsibility for the Content of the Client that you or any third party publishes in or through the Services.
Property rights. You acknowledge that we retain all rights, title and interest in the Services, the Platform, our name, logo or other brands and any related intellectual property rights, including, but not limited to, all modifications, improvements, derivative works, and their updates.
You agree that you will not use or register any trademark, trade name, domain name or social network account name, nor will you manage the ChatCompose trademark, in whole or in part. In addition, the information provided by ChatCompose as part of the provision of the Services is our property or is used with permission.
You may not distribute, modify, transmit, reuse, download, republish, copy or use such information, either in whole or in part, for commercial purposes or for personal gain, without express written permission from us.
Property rights of the client. You own and retain all rights to your Client Content and you are responsible for protecting those rights. These Terms of Service do not grant us any ownership rights over the Content of the Client. You grant us permission to use Customer Content as necessary to provide or improve the Services and as permitted by these Terms of Service.
If you are using our Services on behalf of another party, then you represent and warrant that you have sufficient and necessary rights and permits to do so. ChatCompose may collect and use data related to the use and performance of the Services, without the use of personal data, to analyze and improve the Services and optimize operations.
Disclaimers The services are provided "as is" and "according to availability". In addition, except as mentioned herein, neither party gives any warranty arising from the course of treatment, performance or use in commerce. ChatCompose makes no representations or warranties regarding (a) the suitability or completion of the services, (b) the result that the customer may obtain with the use of the services, or (c) that the services will meet the client's requirements.
Limitation of liability. Except for your responsibility for payment of fees and indemnification obligations, the aggregate liability of each party will be limited to the total amount you have paid in the contracting period.
ChatCompose is not responsible and expressly disclaims any liability with respect to third party products that you use. In no case, will be responsible for any indirect, incidental, punitive or consequential damages or loss of profits, income, data or business opportunities.
Changes. We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time. If a revision is significant, we will provide a notice prior to any new terms taking effect. What constitutes a significant change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised Terms of Service. If you do not agree to the new Terms of Service, you are no longer authorized to use the Services.
